Bending Spoons has entered into a definitive agreement to acquire AI innovation workspace Miro at an enterprise value of €1.7 billion ($1.4 billion) with an all-cash transaction. The acquisition, including the investment, is subject to customary closing conditions and approvals, including regulatory approvals.

Under the terms of the agreement, which was unanimously approved by the boards of directors of Bending Spoons and Miro, Bending Spoons will acquire 100% of the issued and outstanding shares of Miro.

“It’s a privilege, and no small responsibility, to welcome a product that over 250,000 organizations have integrated into their workflows,” said Luca Ferrari, Bending Spoons CEO and co-founder. “Miro has grown to around $600 million in annual recurring revenue, nearly 90% from business and enterprise customers.

“After closing, we plan to invest substantially in the fundamentals that its customers value: performance, reliability, and functionality that supports critical collaborative work. We acquire businesses with the intention of owning and operating them for the long term, and Miro will be no exception.”

Bending Spoons, founded in 2013, is a Milan-based Italian technology conglomerate that acquires, transforms and operates well-known but underperforming digital products for the long term, using AI-driven automation and aggressive cost and revenue optimisation.

The Miro deal marks another major addition to Bending Spoons’ rapidly expanding portfolio of established digital platforms. Over the past several years, the company has completed more than 50 acquisitions, including notable brands such as Eventbrite, Vimeo, WeTransfer, Evernote, Komoot, AOL, Brightcove and StreamYard. Earlier this year, the company filed for an IPO on the NASDAQ.

In August 2025, Bending Spoons raised more than €500 million in debt financing specifically to accelerate its acquisition strategy. Just weeks later, the company agreed to acquire Vimeo in a €1.1 billion all-cash deal.

That transaction highlights Bending Spoons’ established playbook, and makes Miro the latest high-profile platform to enter a it’s technology portfolio.

The Miro transaction is expected to close in the fourth quarter of 2026, subject to receipt of required regulatory approvals and other customary closing conditions. Until the transaction closes, both companies will continue to operate independently.
