
Brazilian financial infrastructure company Celcoin acquired VERT Capital, an independent capital markets services provider. The terms of the deal were not disclosed.
The deal marks Celcoin’s entry into capital markets, adding structured credit, securitization, fiduciary administration, and fund management to its platform. Celcoin completed the acquisition of VERT’s securitization and asset management businesses, while its securities distributor remains subject to approval from Brazil’s Central Bank.
Celcoin plans to invest $94M over the next three years, including $38M in technology. Following the acquisition, the company expects to reach $151M in annual recurring revenue in 2026.
Founded 10 years ago, VERT has around 240 employees and has issued $27B across more than 490 transactions. It manages about $18B in assets and also provides asset tokenization services.
VERT is Celcoin’s seventh acquisition since 2022. Celcoin serves more than 800 clients, while its credit infrastructure originates more than $190M per month.
